Cable & Wireless Reports Preliminary Q3 2017 Results

Return to RGU Growth with 20,000 Adds; Rebased Revenue Growth1 +1% 165,000 New Build / Upgrades YTD & Hurricane Recovery Underway

Cable & Wireless Communications Limited (“C&W”) is a leading telecommunications operator in its consumer markets, which are predominantly located in the Caribbean and Latin America, providing entertainment, information and communication services to 3.5 million mobile, 0.4 million television, 0.6 million internet and 0.6 million fixed-line telephony subscribers2. In addition, C&W delivers B2B services and provides wholesale services over its sub-sea and terrestrial networks that connect over 40 markets across the region.

 Liberty Global’s Acquisition of C&W

On May 16, 2016, a subsidiary of Liberty Global acquired C&W (the “Liberty Global Transaction”). Revenue and subscriber statistics have been presented herein using Liberty Global’s definitions for all periods presented unless otherwise noted. Further adjustments to these metrics are possible as the integration process continues. Significant policy adjustments have been considered in our calculation of rebased growth rates for revenue. For additional information on Liberty Global’s definition of rebased growth rates, see footnote 5. In addition, effective for the 2016 fiscal year, C&W changed its fiscal year end from March 31 to December 31 to conform with Liberty Global.

 Operating highlights:

  • RGU3 additions of 20,000 in Q3 took YTD additions to 15,000
    • Broadband4 RGU additions of 10,000 in Q3, compared to a decline in Q2
      • Network upgrades and improved product offering led to gains of 4,000 and 6,000 in Panama and Jamaica, respectively
      • 23,000 next-generation WiFi “Connect Boxes” across our broadband subscriber base at the end of Q3 2017; significantly enhancing the quality of the in-home broadband experience
    • Video decline of 4,000 RGUs in Q3, in-line with Q2 losses
      • New bundles were introduced in Trinidad; however, the underlying headwinds from over-the-top services continued, resulting in video attrition of 3,000. In Panama, our cable video gains were offset by DTH losses
    • Fixed voice additions of 14,000 in Q3, compared to a 9,000 decline in Q2
      • Bundles driving demand in Jamaica, Trinidad and Panama
    • Mobile subscribers5 declined by 43,000 in Q3
      • Subscribers in Panama fell by 22,000 as we repositioned our offers to focus on higher ARPU customers. New competition in the Bahamas continued to impact our business and drove a 19,000 reduction in mobile subscribers
    • New build and upgrade initiatives delivered approximately 85,000 premises in Q3, bringing the YTD total to approximately 165,000 new or upgraded homes

Update on Impacts of Hurricanes Irma and María:

  • In September 2017, Hurricanes Irma and Maria impacted a number of our markets in the Caribbean
  • Portions of C&W’s mobile and fixed networks were significantly damaged as a result of the hurricanes, most notably in the British Virgin Islands and Dominica. In addition, impacted markets are dealing with extensive damage to homes, businesses and essential infrastructure. In these collective areas, our mobile services are largely restored, however significant portions of the fixed networks are not currently operational
  • We are committed to helping people across the Caribbean region recover and rebuild. To that end we launched the Cable & Wireless Charitable Foundation which will distribute funds to assist victims of the hurricanes. We have also provided credits to mobile customers in impacted C&W markets
  • We currently estimate that more than $50 million of property and equipment additions would be required to restore 100% of the damaged networks in the impacted C&W markets, and that the effects of the hurricanes will negatively impact C&W’s revenue and Adjusted Segment EBITDA by between $15 million and $25 million during Q4 2017. Although these negative impacts will decline as the networks are restored and customers are reconnected, we expect that the adverse impacts of the hurricanes on CWC’s revenue and Adjusted Segment EBITDA may continue throughout 2018 and beyond. These estimates are preliminary and are subject to change
  • We are part of an integrated group property and business interruption insurance program covering all impacted markets up to a limit of $75 million per occurrence, which is generally subject to approximately $15 million per occurrence of self-insurance
    • This policy is subject to the normal terms and conditions applicable to this type of insurance. We expect that the insurance recovery will only cover a portion of the incurred losses of each of our impacted businesses
  • We have not recognized any potential insurance proceeds related to the hurricane losses, and we do not currently expect to receive any significant reimbursements in 2017

INTERNATIONAL PARTNERS JOIN FORCES WITH C&W FOR HURRICANE RELIEF EFFORTS

Premier league pledges $100k, donation drive at 50% of target.

Just one week after the launch of the Cable & Wireless Charitable Foundation to provide relief to Caribbean countries devastated by recent hurricanes, major local, regional and international partners are joining the call for support.  One of the first to respond was the Premier League with a donation of US$100,000.

According to John Reid, CEO of Cable & Wireless Communications (C&W), the response by the Company’s partners has been no less than emphatic.  “We are delighted by the amazing response we’ve had from our partners in such a short period of time.  In less than seven days, as well as the fantastic donation from the Premier League, we’ve seen wonderful contributions from other partners including One Caribbean TV, Anixter, Sigma, Emida, Nelson Mullings, and Next IT with more committing to funds and fundraising targets.  While many in the Caribbean continue to suffer in literal darkness, it is inspiring to see that so many are also eager to help.”

Speaking on their contribution, Richard Scudamore, Premier League Executive Chairman, said, “The Premier League and English football have long connections with the Caribbean and there are many fans of Premier League clubs across the region. Having seen the devastation caused by the recent hurricanes, and read and heard about the many people who are suffering as a result, we felt it was right to support the efforts of the Cable & Wireless Charitable Foundation that is aiding the relief and recovery initiatives.”

The Cable & Wireless Charitable Foundation was established by C&W, a Liberty Global company, as an immediate response to the devastation left by recent hurricanes across the Caribbean.  The Foundation will initially serve as a fundraising hub, disbursing monies raised to recognized local, regional and international charitable agencies to execute projects in affected territories. C&W recently announced ShelterBox and Rotary International as the first two organizations to receive grants under the newly established Foundation with the purpose of providing immediate relief  support and then longer term rebuilding and recovery activities.

To date the fundraising drive has raised over 50% of the Foundation’s target of an additional $500,000 to match the seed funding  C&W originally donated. Reid also emphasized as part of the fundraising and relief drive that he is extremely proud of the employee response. C&W employees are participating in a voluntary internal payroll donation campaign across all markets, as well as contributing canned goods, personal care products and non-perishable items that continue to be airlifted to impacted markets. In addition, parent company Liberty Global has launched their “In Givers” campaign and will match employee donations across all its operating companies worldwide.

SHELTERBOX, ROTARY INTERNATIONAL NAMED AS FIRST PARTNERS OF THE CABLE & WIRELESS CHARITABLE FOUNDATION

MIAMI, FL – September 27, 2017 C&W Communications (C&W), a Liberty Global company, today announced the first two partner organizations – ShelterBox and Rotary International1 – of the newly formed Cable & Wireless Charitable Foundation to execute immediate relief and recovery activities in the countries affected by Hurricanes Irma and Maria.

ShelterBox, an international disaster relief charity specializing in providing emergency shelter for vulnerable families who have lost everything after natural disasters and conflicts; and Rotary International, a global network of 1.2 million neighbors, friends, leaders, and problem-solvers who come together to make positive, lasting change in communities across the globe, will use the Foundation’s funding to continue and accelerate efforts to improve conditions on the ground in impacted territories. The partnerships follow the recent announcement of C&W to establish a regional Foundation with initial funding of $500,000 to focus urgent humanitarian relief and eventually broader recovery efforts in Anguilla, Antigua, the British Virgin Islands, Dominica, the Dominican Republic, Puerto Rico and the Turks & Caicos Islands.

Speaking on the new alliance, Chris Warham, Chief Executive of ShelterBox, said: “At ShelterBox, we are impatient to help the most vulnerable families who have lost everything in the devastation caused by Hurricanes Irma and Maria. Among the specially-sourced equipment packed into its distinctive green boxes, ShelterBox also provides tents tested in extreme weather, solar lighting for when power is down, water filtration to combat disease, and items to keep families warm and able to cook together. The charity also distributes kits to help people repair their damaged properties, clear ground, and to waterproof roofs.

Rotary International is no stranger to the region, as they span 29 countries and 37 islands in the Caribbean. Through community projects, they solve real problems with commitment and vision. Rotary members use their passion, energy, and intelligence to take action on sustainable projects. In this instance, Rotary is bringing its members together from across the Caribbean to help roll out programmes to address both immediate relief efforts as well as longer term recovery initiatives.

Cable & Wireless Charitable Foundation Launched with US$500K Donation to Support Hurricane Relief

 

MIAMI, FL – September 20, 2017 – Further to its recently announced relief efforts in the aftermath of Hurricane Irma and Maria – including expertise deployment, humanitarian aid drops and free calls for impacted customers – C&W Communications (C&W) today launched the Cable & Wireless Charitable Foundation (‘the Foundation’), with seed funding of US$500K to help support humanitarian efforts across the region. The initial primary purpose of the Foundation will be to serve as a fundraising hub, enabling monies raised to be directed to local, regional and international agencies to execute projects in affected territories. In the longer term the Foundation will also support other charitable and community causes in the markets the Company serves. C&W also announced a concerted drive to raise further funding from partners, suppliers and individual donors, including the launch of a ‘Text To Donate’ campaign.  

John Reid, C&W’s CEO, said, “The 2017 hurricane season continues to have a grave impact upon some of the markets in which we operate, and the present situation requires a concerted effort to provide much needed relief. What has been truly uplifting, however, is the huge desire amongst our employees, partners, and customers – as well as our extended Liberty Global family– to help improve the situation on the ground. General Notification- Hurricane Irma

Dear Valued Customer,

Cable and Wireless has been following closely the current weather conditions particularly with respects to hurricane Irma located approximately 270 miles east of Antigua with maximum sustained winds of 175 mph.

Irma is forecasted to remain a powerful category 4 or 5 hurricane during the next couple of days and hurricane warnings are in effect for Antigua, Anguilla, Montserrat, St. Kitts, and Nevis, Saint Martin, British Virgin Islands.

In response to the above we have initiated provisions within our facilities to ensure that services remain uninterrupted and are taking all the necessary actions to prepare and protect our network facilities should there be any hurricane related impact.

In addition to our preparations above, we will be conducting extensive monitoring of our infrastructure to ensure that the environment is in an optimal state. Resources will also be on standby to address any issue that may arise.
